Terms of service
Last updated October 11, 2026
These are the rules for using FunnelCake, in plain words. The short version: the first twogame weeks are free, your club's data stays yours, and you can leave whenever you like.
1. Who we are and what these terms cover
FunnelCake is a software product of Shadowmist Holdings LLC, a Georgia limited liability company ("we", "us"), and these terms are the agreement between us and the club that uses it ("you").
- What FunnelCake is: software for booster clubs to track inventory, plan menus, project sales, order from suppliers and record what sold.
- What it is not: FunnelCake is not a point of sale and takes no payments from your customers. You keep using whatever you already use to take money.
- Agreeing to these terms: when you create a club account or use FunnelCake, you agree to them. If you do not agree, please do not use it.
- Who "you" is: the club (the organization) that holds the account. The person who signs up confirms they can act for the club.
2. Accounts and who can use FunnelCake
Each club has one account, and the club is responsible for what happens in it.
- One club, one subscription: one organization in FunnelCake is one subscription. Running several teams or windows under one club does not change the price.
- Owners, Admins and Members: the Owner and Admins manage the club's settings, people and subscription. Members can use the screens the club allows. The club decides who gets which role.
- Your sign-in: keep your password and passkeys private and tell us if you think someone else has used your account. You are responsible for activity under your sign-in.
- Invitations: only invite people who are part of your club. Each person chooses their own password.
- Accurate details: give us true information when you sign up and keep your contact details current, because renewal notices go to your club's Owner and Admins.
- Age: FunnelCake is for adult volunteers running a club. It is not meant for children to use on their own.
3. Free trial, price and renewal
Your club's first two game weeks are free, and after that the subscription is $300 per year, or $200 per year for clubs that sign up before the end of 2027.
- Free trial: every new club gets two full game weeks free, with no card needed. A game week is counted when you finish its cycle (from counting stock to recording what sold), so the trial ends when your club's own season has produced two, not on a calendar date. You can set up as early as you like.
- After the trial: when both free game weeks are used, you can keep reading everything in your account, but saving changes is paused until you subscribe. Closing your club stays available.
- Price: the standard price is $300 per year per club, however many teams or windows it runs. A club that signs up before the end of 2027 (by December 31, 2027) pays $200 per year, and keeps that price for as long as it renews each year without a gap. We may change prices for new clubs at any time. Existing subscribers keep their price until a lapse, and a club that comes back after a lapse pays the price in force then.
- Annual term: the subscription runs for 12 months from the day you first pay and renews on that anniversary. Each club has its own renewal date.
- How you pay: by card only. The person who signs up decides whether they or the club pays, and can hand the subscription to a new owner. Those arrangements are the club's to settle, and we are not part of them. Payments are handled by our payment processor, and we do not store your card number.
- Renewal notice: about 60 days before your renewal date, we email your club's current Owner and Admins, so the notice reaches whoever holds those roles now.
- If a renewal is missed: you have a 30-day grace period after the due date. After that, saving changes is paused again, while reading and exporting your data keep working. Paying restores full access.
- Taxes: prices do not include sales or use tax. If tax applies to your subscription, we will add it and show it before you pay.
- Price locked to your club: the early-signup price belongs to the club that earned it and cannot be transferred to another club.
4. Refunds and cancellation
If you pay and it is not right for your club, ask within 30 days of your first payment and we will refund it in full. The full policy, including renewals and how to cancel, is on the refund policy page, and it is part of these terms.
- Renewals: a renewal charge you did not mean can be refunded if you ask within 14 days and have not used FunnelCake since the renewal date.
- Cancelling: you can cancel at any time and your access continues to the end of the paid year.
5. Your data
What your club enters belongs to your club, and you can export it at any time.
- You own it: your inventory, menu, projections, sales and everything else your club puts in stays yours. You give us permission to store and process it only so we can run FunnelCake for you.
- Export: your Owner and Admins can export your inventory and other records at any time, including after a trial or subscription has ended and before you close the club.
- Privacy: how we handle information about people and visits to our website is explained on our privacy page, which is part of these terms.
- AI features: some features, such as reading a count or sales file you upload, use an AI service. We send it only what is needed to do the task you asked for, and we do not allow it to use your data to train its models.
- Anonymous ratios: we may use data from clubs in a combined, anonymous form, with nothing that identifies your club, your members or your supplier, to produce general benchmarks and improve FunnelCake. We will not publish dollar totals or any figure that can be traced to your club.
- Closing a club: if your club closes its account, its web address is released and its data is deleted or made unrecoverable within a reasonable period, except records we must keep for tax, legal or billing reasons. Please export first, because once the address is gone there is no way for us to show the data to you.
- Backups: deleted data may remain in routine backups for a limited time before it is overwritten.
6. Using the service
Use FunnelCake for your club's concessions, and do not use it to harm it, us or anyone else.
- Please don't: break the law with it, try to get into other clubs' data, probe or overload our systems, copy or resell the software, or upload anything that contains malware or that you have no right to share.
- Your responsibility: you decide your menu, prices, orders and the numbers you enter, and you are responsible for checking them. FunnelCake's projections, forecasts and ordering suggestions are estimates to help you plan. They are not guarantees of sales or of what you should buy.
- Support access: to help your club, a FunnelCake administrator can open a time-limited support session. Every session is recorded, and the record shows in your club's activity log. Support access in read-only mode cannot change anything.
- Suspension: we may pause an account that breaks these terms, is used to harm others, or puts the service at risk. We will tell you why and what to do, unless the law or an emergency stops us. A suspended club can still read and export its data.
- Keeping it running: we work to keep FunnelCake available and to tell you ahead of planned downtime when we can, but we cannot promise it will always be on. We may change, add or retire features, and we will not remove a core feature during a paid year without good reason.
7. Warranty, liability and disputes
FunnelCake is provided as it is, and our responsibility to you is limited to what you have paid us.
- No promises beyond these terms: we do not promise FunnelCake will be error-free, uninterrupted or fit for a particular purpose, and the law lets us say so. Check important numbers, such as supplier orders, before relying on them.
- Limit on what we owe: to the fullest extent the law allows, we are not liable for lost profits, lost sales, unsold inventory, spoilage, or any indirect or consequential loss. Our total liability for any claim is limited to the amount your club paid us in the 12 months before the claim.
- What this does not limit: nothing here limits liability that the law does not allow us to limit, such as for fraud.
- Resolving problems: please contact us first through the contact page. Most problems can be sorted out directly.
- Governing law: these terms are governed by Georgia law. Any dispute we cannot settle will be brought in the state or federal courts located in Paulding County, Georgia, and you agree to those courts' jurisdiction.
- If part is invalid: if a court finds one part unenforceable, the rest still applies.
- The whole agreement: these terms, together with our privacy page and refund policy, are the whole agreement between your club and us about FunnelCake.
8. Changes and contact
We may update these terms, and we will tell you before a change affects you.
- Changes: if we change these terms in a way that matters, we will email your club's Owner and Admins at least 30 days ahead and post the new version here with its date. Using FunnelCake after the change date means you accept it. If you do not, you can cancel and ask for a refund of any unused paid time.
- Your cancellation rights: a change never takes away the refund rights in our refund policy for a payment you have already made.
- Contact: use the form on our contact page. FunnelCake is a product of Shadowmist Holdings LLC, a Georgia limited liability company.
